    # 2023-03-25 超證正會議紀錄 時間:2023-03-25 地點:地球上 **與會人** - Noah - 豆泥 - 逸晟 - Frank - Gimmy --- **初始討論大綱** **有疑惑的點?** - Hypercert不能再轉賣具體什麼的考量(SEC那邊?) - writing NFT也可以有二級市場(很不營利性質的NFT了) - hypercert整套最有價值,最難完成的應該是 - 事後驗證的概念 - 真正找到合作夥伴來發/蒐藏(地推這部分感覺才是最難的!) - 感覺PL給的錢也不是很多,g0v/fab dao自己fork出來,用發一個有自由二級市場的,然後platform UI/UX做的美觀一點,難度應該不高,在台灣這樣玩的法律風險也不高,但自由度可以高很多 - 強烈感覺需要有二級市場的動機是 - 只被定價一次會是一個很不市場效率的做法 - 舉例:一份hypercert,可能因為沒有被其他組織看到,就被一個組織,用很低的價格買走,持有hypercert可能覺得過低,整個努力被鄙視 - 現在會需要基金會的具體的原因是為什麼? - 處理filecoin金流? - 現在對於購買/蒐藏hypercert的流程有什麼比較具體的想像了嗎? - 例如競標的方式? - Smart Contract是EIP1155 還是 EIP3525? - 之前以為是3525,但白皮書是1155 **對Hypercert更具體的想像** - Hypercert definition的想像 - 公益版本的writing nft - 不去做任何量化的定義,也不去做估值的東西。很單純的是一個記載一些文字的好寶寶貼紙。 - 量化/估值,讓買家/市場端自己去決定(可以定義一個loyalty %,讓二手的資金一直有部分回到最初始持有hypercert的contributor)(這概念跟現在tezos上面的創作者基本一樣) - A NFT platform only for hypercert - 項目方與買家(想蒐購的基金會/慈善團體等)可以在上面用錢包註冊帳號 - 當然,想要直接做慈善的個人也可以在上面買(讓富豪們有一個比誰有愛心的競爭心態!?) - 大家可以橫向比較誰收了哪些hypercert,哪些組織發行了哪些hypercert。 - 由da0來做幾個模板,但項目方可以自定義decription的內容 - 正向循環 - decription寫得越好,越能驗證,marketing做的越好 -> - 發得越多被人蒐藏的,項目方在這個platform上面的聲望直也就越高-> - 信用越好,越多藏家也願意買這項目方發出來的hypercert -> - 完成一個閉環 **衍伸** - 發行錢包很重要 - 鏈上藏家會認,如果一個組織不匯集在同一個帳號發,會有credit分流的問題 - merge的簡化與必要性: - 一個人,在同一專案裡面,前後做了不同的事情,收到好幾張hypercert,我只要merge description的部分,技術上難度很低,然後也方便人藏家有一次收購整個系列的感覺(舉例:如果我是買家,我看到市面上有十張同時發給Gimmy的參與磺溪專案會議討論證明,光想著我要按十次0.1 matic我可能就不會想收了。如果可以merge在一起,賣1 matic,我可能還會想支持) - da0 / fab dao的角色會變得很單純:經營好那個platform,邀請大家上來玩。具體來說,例如就是有人想發hypercert,我們跑過去提供模板當顧問;當沒有人想自己發,我們可以主動去往別人身上貼好寶寶貼紙 --- **討論小總結** - 沒二級是Protocol Labs關於法規上的考量,而da0考量到今年重點是要應證整個hypercert的邏輯是行得通的,也先不會打算複雜化 - fab dao這邊要fork出去做,PL/g0v都是很歡迎的 - 需要基金會,是當跟web2合作夥伴有金流往來的時候,需要一個web2的肉身才可行 - 購買/蒐藏hypercert的環節還沒有很明確,但現階段的想像是,一個項目只會有一個藏家組織。例如XX文教基金會買掉OO專案的整個hypercert - hypercert的protocol,現階段就是走EIP1155,要改要升級都是之後的事情 - 在hypercert裡面,幫貢獻做量化會存在一個trade-off - 不量化:機制會簡易很多,把估值的權利直接留給買家。但同時因為異質性過高,藏家需要自己去做估值,這樣其實對trading volume是很不利的。 - 量化:與前者顛倒過來 --- **具體討論內容** (感謝筆記小天才Frank的整理) 問題1 證券化 合規 考慮 ESG 等 PL 考慮什麼 Q 是否需要自己發( 因為以open source Fork 好處二級 轉化 Noah: 限制一次性轉售的好處 , 照著PL. 的模式的好處 Fork 的話也行, 但有可能加上承擔security 的風險 Q 如果fork 之後會不會有任何衝突 Moda 二級市場不是主要考量重點 Studi0 以現有PL 框架往下走沒問題 KPMG 永續長 猜測對於hyperCert 想像 市場性 未來是否有需要showcase 證明有市場性的 Noah: 若KPMG近來 就得Fork Mash: 若不論是自己或次其他人 有人Fork的話要跟誰 誰跟誰 跟著 小結論: The g00d class, study0 , 在場 : 偏向Noah FABDAO可動, 近交易 Gimmy: 一起在一個平台上展示 會不會影響對大家的了解成本, 跳進來的成本
