# 2021-10-24 Weekly Meeting ###### tags: `weekly-meeting` ## Agenda ### Non-profit stuff - Intro - What steps need to be taken - Discussion - What is the non-profit's mission - Advice from Gudrun - Read through quite a few docs - Different than Germany - On a good path to incorporation? - American citizens has to be head? - Go with slipped as "liason" - Who is in what position? <-- - Make sure they're filled - If power isn't where it needs to be, can be an issue - Important people should be in important position - Finding BoD members - People want positions for the title - Job descriptions could be good - What do they have to give up? - What are the legal obligations? - What do they have to share with the internet - Name/address/birthday - Is proof required? - Images? - Need to look into this - What restrictions might they run into - What are their organization obligations - Will we have to talk to people before to see if they can verify first? - Slipped look into this - Raising money - Merchendising - Money from steam - What fiscal obligations? - Could lose status if "too much is being raised without purpose" - Needs to be declared in a certain way - What might we need to figure out first? - Should we know ahead of time what we're aiming to make revenue from - Pretty open-ended under secion 501c(3) - After status is filed with IRS, text declaration is used to verify that you remain within the zone they want - Not really business plan - You've stated "what you do" - For tax payments - More up front means that you likely won't have to justify changes - Mission - How is ours? - Looks reasonable - Educate open source - Rust - Talks - Blog posts - Working on the community - Helping new contributors - Potentially reseach? - "state more, do less" - Counterintuitive? - I'd like to hear about what extent we can pay people for things. For example, dealing with paperwork is quite a demanding and unrewarding task so it would be nice to be able to compensate the person doing that accordingly, even if it's not a massive amount. - German method - People who are assigned by BoD - Tax exempt amount - Non profit pays for services done for organization maintenence vs paying for work on the project - "Reasonable compensation" isn't market price - Can the BoD be payed for "reasonable compensation"? - I'm not sure I heard enough about money, It's not clear to me what asking for money for the game on steam would count as, Is it just an income, or does it count as profiteering? - Need to look into this - We get money "from educational means" - Rust workshops - Courses for game dev - Non-profits "fly too close to the sun" - American law is often based on cases - New case are based on old ones - EU Tends to be a lot more law-based - Action items - Meeting with Erlend? - Look into Amethyst docs - Can we get them right from Erlend? - Write down descriptions for BoD members - Get initial insight into who would be interested so that we could know numbers - Likely this will just be done in the admin chat - People who aren't part of the project are valid - Questions - Income vs profiteering, what does this look like in America - How close can we be to the edge of our mission while making revenue - Can we submit our forms and have them verified before the formal sumbission - What precise documents do we need to submit and how? Presumably it would need to be done by Slipped in an official context, but is there a precise process that we need to go through? - How to fill out positions well? What are some example descriptions? - What is a conflict of interest, and how will it affect the BoD? - What privacy is given up by the BoD members? What proof of their information would be needed? - What does "selling a game on steam" look like in the context of this non-profit? - How world money work? Presumably we can create a US bank account, but does legal personhood in the US confer some sort of status in other countries through international treaties - I know that the UK has a treaty with the US, for example, which allows various kinds of tax exemption for money collected in each if you're a legal person in the other - What examples can we look at from the past, aka other non-profit game dev - How "US limited" would we be? In terms of money collection - How easy would it be to lose our non-profit status? - In bylaws, what is membership - Is the board allowed to have private meetings without it being in the bylaws? - Thoughts on the counterterrorism and due diligence policy - Look into getting .com transferred after incorperation + trademark - Check patent office
