# Reselling TB software license

## Exhibit A Pricing policy restrictions and suggestions for Distributor

* For avoidance of doubts, if Distributor sells any product to the client, Distributor takes 10% from the invoice, while Supplier provide respective services. For example: Distributor sells to the client PoC product.

* Supplier undertakes quotations and development of the proof of concept. Distributor will charge the client and then transfer to Supplier 90% of total sum (deducting 10%).

* If Distributor sells any own product or resell goods and services of Third Parties (Distributor’s Product) to Referral, Supplier deducts 50% of the growth margin of Distributor from each invoice paid by Referral for Third Party goods or 50% of profit from selling of own goods of Distributor.
