# RMRK: raise 2

One year ago, we developed the most advanced NFT system in the world - in theory. Over the year that followed, we turned it into practice.

With [RMRK2 launched on Singular.app](https://url.rmrk.app/singular2), Kanaria breaking record volumes month on month, and both the EVM and the Rust version of our code in MVP state, we are well on our way to conquering the NFT space and killing the primitive standards of old.

However, due to the small raise we'd done before and due to having kept almost no tokens for ourselves during the TGE, we find ourselves in need of a new raise to aggressively expand.

Specifically, our plans include growing to ~20 people with:

- at least three more developers of Solidity, Rust, or ReactJS persuasion
- at least two people as marketing soldiers, and one more to lead them as Community Growth lead
- at least one of each: UX designer, game designer, game engine developer
- one person to handle HR (salaries, screening, outreach)

Additionally, we have plans to aggressively market our solution to the younger generation who are simply not exposed to long-form content and cannot find out about us. We will be partnering with educational and influencing/marketing firms to penetrate Gen Z and younger crowds in an attempt to invade Tiktok for user acquisition, universities and high schools for trainees, and art schools and galleries for new and exciting mints on RMRK and valuable real-world partnerships.

To make this possible, we intend to raise a final ~15m USD in crypto, split into two rounds: Harberger Lordship and RMRK SAFTE.

These are two separate and unrelated raises, each designed for a separate type of investor, but an investor can, if they wish, invest in both.

## Harberger Lordship

As described in [Skybreach](https://url.rmrk.app/meta), some premium land in the metaverse will be Harberger-taxed.

Harberger taxation implies buying a land at a buyer-defined price and paying a tax as a proportion of this price, but any other user has the right to immediately purchase the same asset for that buyer-defined price at any time.

This encourages true price discovery, and makes premium land non-hoardable. Compared to traditional metaverse deployments today, this is an improvement of several orders of magnitude in terms of land availability and continuous funding for the metaverse.

So where does the tax and the initial sale profit of these premium lands go?

Into the RMRK Treasury for further development. This is meant to be the main sustainability driver of Skybreach's future development, so we will do our best to give these harbtaxed lands the most utility and demand.

The Harberger Lordship raise is a sale of 10 NFTs, each for $500k USD, giving its owner 1% for life of these harberger tax profits.

Due to the Lordship technically being a security, the distribution of these profits will be automatic - the profits will go into a pool from which the user with the Lordship can withdraw what they are owed whenever they wish.

## RMRK SAFTE

RMRK is de-registering as a verein in Zug, and registering a company in BVI.

This company will sell equity with a **possible** but not guaranteed future token drop at an unconfirmed date.

The token (if any) would be different from and unrelated to the RMRK token, and would exist purely to represent a profit share of the commercial RMRK entity, sharing profit from consulting, whitelabeling, and custom development the RMRK team would do for third parties.

As the token would be a security, this profit share could be done without a token too. Investors will be told which route the company will take in this.

Based on the floating RMRK market cap of between 130m and 700m USD, our performance and deliverables, and partnerships in place, we estimate our total (non-$RMRK) valuation to be 200m, and are looking to sell 10% of this.

Investment into this option is equivalent to getting into the pre-seed round of a new project, due to RMRK's focus on being a for-profit development and whitelabeling company which builds game, music, and creative launch platforms for other high profile projects, and cross-integrates them using our DEGEN index, a special score designed to grade the effective rarity of cross-collection-compatible NFTs of any media type.

There is no fixed or estimated date for when this token and/or distribution would begin, but it would happen no sooner than two years from the raise.

The minimum ticket size is 150k USD, and it maxes out at 2m USD (1% equity) per entity.
