About ------------------ This documents serves as the intial draft between Dime Technologies and BUSINESS_NAME. The purpose of this agreement is to bind the two mentioned parties for the projected entitled " Golf tracker ". In this document, term 'we' or 'I' refer to Dime Technologies. Term "Client" refers to BUSINESS_NAME. OBJECTIVE ------------------------------- We are responsible to deliver the final end product as a mobile app which runs in android powered mobile phone. The mobile application will be able to import the pre-recorded video and output another video file with a traceline of golf ball. The exact details, context and pre-requisities of the input file, output file and application functionality will be delivered as described in attached document "Application functionalities ". Since, the properties of the application is such that it cannot be predicted beforehand, both party understands that the delivered product will be a best-effort delivery and the product is finished when Dime reports so with voluntary approval from BUSINESS_NAME. TERMINATION ------------------------ Either party keeps the right to terminate the contract at any time. Dime technologies is allowed to terminate the contract without any further restriction if the project is delivered as-is state at the time of termination, finished or unfinished including all the intellectual property of related project to client. Client is allowed to terminate the contract without any further restriction if all the invoices are cleared at the duration of termination. Date of termination is when both party sign the document indicating the termination of relationship. Both party are allowed to suggest additional requirements or condition as long as both stays within the description above. As mentioned under, "OBJECTIVE", the product will be best-effort and upon termination by party BUSINESS_NAME, sect. PAYMENT PLAN will still be valid. PAYMENT PLAN ------ Payment plan is described in the attached document "Payment plan". PROJECT DURATION ------------------- Both party agree to have an open end project duration. Each party are entitled to request the time estimation plan as a voluntarily and thus shall be taken only as communication medium without any hard commitment. First draft of estimation shall however be agreed upon by both party while signing the relationship with the condition of right to extend or shrink by both parties.
