# Steering Committee Meeting
11/14/2022
## Agenda
* Community and design onboarding
* Actionable items in a linear process for EthBoston and launch of Noun NFT
* Need to state what needs to get done.
## Community and Design
* Colfax is newest member of community and design
* Goals: Get quotes and aggreate prices for deisgner for website and nfts - how much do we need to spend? ideally its nothing.
* Community - communications with community - telegram, twitter (Jake and Alex - Autumn was running and was good), discord (Jake hasn't had time to work on bridge)
* If anyone wants to work on a telegram <> discord bridge, hit Jake up
* Colfax doesn't have a ton of extra time - part of GitPOAP and has a strong design team.
* DAO understands its busy and how we do we (2.07pm)
## Governance
* No pressing items - more on legal risk side
## Legal & Risk
* EthBoston
* entity is created
* Finalize fiscal responsibility between EthBoston and Girls in blockchain (???) (2.09pm)
* Identify who is the directors to sign
* Phil can take that on with Maria
* Fiscal agreement can move right after we have that in place
* Alex and Sophia have been looking at venues
* NFT Launch
* Corbin update: legal aspects to launch and entity - mido marshal island set up
* We need one person to KYC themselvs. setup as a non-profit
* Find some cash to pay for the setup - Jake and Corbin could front some cash
* Total bill is 15k for the first year and 5k each year. coming back to finances for setup costs
* Set up on this plan
* Alternative for the cayman route - same structure in the caymens, but another 10k. more established, more buracratic, more expensive. Jake opts for the Mido solution for the MVP
## Events
* Phil and Alex have been talking to venues
* Northeastern is an option - problem with overnight hackathon - hotel nearby in case it doesn't have overnight access
* Have a dev who would be interested in providing space (2.14pm)
* ~15k for the venue
* Question - problems with having multi-venued hackathon?
* corbin - everyone would have to stay in northeastern and decamp to 8. For northeastern it would. trying to get everyone to move twice - not a great experience
* Previously, they said it was security. if we came to northeastern with security solution. but there is a cleaning staff that comes in at 10pm. they seem open to making exception for us
* Hoping seaport venue works out
* Coinlist - handles a lot of hackathons - host it online and let the hackers work from anywhere.
* Manasi prefers in-person and what we are trying to build in Boston.
* Corbin doesn't like hackathon - the culture, the feel - in-person you are collectively together
* Harvard was overnight - clean up and security - coming with the solutions/plans - they feel more comfortable
* Multi-space would work for things outside of the hackathon
* Was harvard keen about having ethboston?
* Corbin - no
* Alex - harvard blockchain club is not having it at harvard. northeastern doesnt seem enthusiastic
* Phil - Person Phil was talking with at Revere Hotel. Know what is going to happen from the previous Harvard Blockchain - 100k for all information. Phil is looking into additional questions (2.19pm)
* Any week in march conflicts with other school conferences
* If we charged a nominal fee - $50-$100
* MIT and Harvard are shuffling dates and anchor the dates and the other universities could work around our dates
* MIT has pretty set dates and its at MIT
* Fidelity is very interested in sponsoring EthBoston and is looking for additional information but Manasi didn't have any information to share other than deck
* Emanuel from Fidelity
* Seaport venus: https://us06st1.zoom.us/web_client/9zdhk1t/html/externalLinkPage.html?ref=https://www.wsdevelopment.com/
* We havent developed sponsors, we need to find the real level of interest. If we can lock in fidelity as a sponsor, everything else should fall into place
* Focus on getting fidelity as a sponsor
## Partnerships
* List out and aggregate all potential sponsors
* Communicate to John Zannos any sponsors to reach out to
* John has started to build a target list and will put the list out in discord
* Partnerships are for general Boston DAO - EthBoston is most upcoming event and anchors the conversation for a next step
## Tech
* We have commits coming into a repo
* Jack rebased Nouns DAO to be up to date
* Update the front end web app
* Looked at pulling out variables for the contract
* We should have a tech meeting this week
* Evan - check in to recap on discord
* Need to talk with artist to get generative NFTs
* From front-end perspective, generating smallest thing possible and keeping NounsDAO framework in place
* Could use a nouns builder if we run into a time crunch
* Timeline - as soon as possible
* Status of the website?
* We need to do a better job of communicating - what is the progress? we haven't communicated anything beyond that. good place to share our progress
* Could link to trello?
* We could have a general status updates
* Development has been focused on Nouns Monorepo
* Docker has a lot of moving pieces with Docker, it will slow us down
* Having a general design and get general feedback
* Could focus on separate repo
* Are there other items where we need to adjust the budget?
* If we do modify the contracts - an audit would be nice?
* Web hosting budget
* Web designer
* Consolidate Skiff to discord
* Consolidate trello board over to notion
* Could we use notion page to host our website?
* Yea, that would be low hanging fruit
## Governance
* Scholarships - come separately or allocating NFTs to that bucket
## Financials
* How much do we need for a raise? If Fidelity comes in, we can use it to anchor EthBoston
* Jack cash update - Circle can enable send functionality Silvergate (usdc and silvergate USD). We can have multi-sig, move it to circle, or other options to move the cash around
* Jack created preliminary budget - didn't have costs, but wants to post the budget in Discord.
* Action: every look into the sheet and update it. If that doesn't work, department/steering head can come into the finance meeting
* Once we raise the money and set up the legal, we can get the circle account and we can see how much we need to raise
* What are the minimus for Silvergate?
* There is no minimum
* There is a monthly fee for a few hundred
* Send Functionality is free on the circle side
* Silvergate processing time is around a month
* There is a fee once you go above a million dollars
* Manasi talked to someone at Circle is is onboarding DAOs. Without a legal entity, we won't be able to do anything
* We will want to raise for two or three years of runway - keep in mind for budget check
* EthBoston financing and budget needs to be separate
* We have bank accounts in place
* They are two separate entities - EthBoston Inc is incorporated in Delaware
* It was always the intent
* Corbin accounting update - friend is happy to do pro bono. have a lot of crypto clients and are game
