# ipfs-search: Making a foundation in the Netherlands

## What we need:
* Articles of association
* A notary

## What needs to be in the articles of association

1. Name of the foundation - to include 'stichting';
1. Registered office address;
1. Purpose of the foundation;
1. Method of appointment and dismissal of directors/officers;
2. Minimum number of board members
3. Decision-making procedures
4. Where the money will go when the foundation is ended.
5. Can also include rules about the foundation's organisation[^1]

### Note
1. A civil-law notary needs amend the deed whenever you need to amend your foundation's statutes.
2. It's mandatory to register your stichting in the Commercial Register (Handelsregister) at the Netherlands Chamber of Commerce (Kamer van Koophandel, KVK).
3. €50 for registration €400 -800 for notary
4. If a single board member should have the power to sign contracts for the foundation the specifications for this needs to be put in the articles of association. Its also possible to register a representative with the Commercial Register

[^1]: In addition to articles of association, you can also draw up internal regulations. In such documents you organise the practical, day-to-day affairs within the legal entity. For example, they can include agreements about keeping the financial administration or rules for work clothing. These documents form an addition to the articles of association. If the internal regulations say something different from the articles of association, then what is stated in the articles of association applies. If you change the internal regulations, you do not have to go to the notary. The internal regulations are not public.

Beste allemaal,

Inmiddels ben ik aan het kijken hoe en of we die Stichting op kunnen zetten.

Allereerst, dienen we de notaris een doelstelling en voorgenomen activiteiten aan te leveren. Daarmee schrijft de notaris dan de statuten, die aan ons ter goedkeuring voorgelegd worden. Mijn aanzet:

Naam
Stichting ipfs-search Foundation

Noot: dit zou ook algemener getrokken kunnen worden, maar in de huidige phrasering is het duidelijk herkenbaar in het buitenland, ook als zijnde ‘foundation’ - al klinkt het voor ons wellicht dubbelop.

Doelstelling
Het bevorderen en waarborgen van internetzoektechnologie, op basis van vrije en Open Source software (FOSS), die nadrukkelijk het gebruikersbelang voorop stelt tegenover commerciële belangen.

Activiteiten
* Het borgen van intellectuele eigendoms- en merkrechten in lijn met de doelstelling van de Stichting.
* Het aanbieden van publieke internetzoekdiensten op basis van vrije en Open Source software (FOSS).
* Het ondersteunen van de (door)ontwikkeling van vrije en Open Source software (FOSS), door middel van kennisdeling zowel als financiële middelen aan groepen, organisaties en individuen, in lijn met de doelstelling van de Stichting.
* Het werven van fondsen en donaties ter bevordering van de doelstelling van de Stichting.

ANBI of niet
We kunnen ervoor kiezen de statuten ANBI-proof op te laten stellen. We kunnen dan (wellicht in de toekomst) een status aanvragen waarmee wij giften kunnen ontvangen zonder schenkbelasting, en ook weer door kunnen geven. De meeste notarissen rekenen hiervoor ca. € 100 extra.

Kosten
Bij Ligo kost het oprichten van een ANBI Stichting € 399, een normale Stichting is € 296. Echter, voor het controleren van de identiteit van bestuursleden die niet in Nederland wonen betalen we bij hen, per persoon, € 39.

Workaround is om Kees in zijn eentje de Stichting te laten oprichten, vervolgens kunnen wij tijdens een vergadering als bestuursleden aantreden. Echter, niet echt een elegante aanpak.
