# Charter of the IOI Fund Subcommittee First Version: 2025-03-07 Last updated: 2025-03-27 URL for this page: https://hackmd.io/@investinopen/charter_of_the_ioi_fund_subcommittee ## Council Description & Purpose The IOI Fund Subcommittee (the "Subcommittee") is established to provide dedicated oversight and governance for the IOI Fund for Network Adoption (the "IOI Fund"). The Subcommittee will ensure that the Fund's activities are aligned with IOI's mission, values, and strategic objectives. The responsibilities of the Subcommittee include overseeing the selection process, managing the distribution of awards, and monitoring project progress and impact. ## Key Responsibilities & Duties The Subcommittee will: 1. **Oversee funding decisions:** Oversee funding decisions over $150K USD for the IOI Fund, ensuring alignment with IOI's mission, values, and strategic objectives and minimize funding decision risks for IOI and its communities and potential unduly influence on such decisions. 2. **Recommend expertise:** Support the selection process by co-recommending and co-inviting (with IOI Staff) members of the Community Advisory Panel and Technical Advisory Panel. 3. **Ensure alignment with IOI's values:** Ensure that the funding process and decisions are conducted in accordance with IOI's values, including transparency, community engagement, equity, and inclusion. 4. **Provide strategic guidance:** Provide ongoing strategic guidance to IOI staff on the IOI Fund's direction, priorities, and sustainability. 5. **Support the distribution of funds:** Assist in making sure that all aspects of the Due Diligence process are conducted well, such that the risk for IOI and its communities are minimized and mitigated where possible. ## Council Membership & Structure The Subcommittee will be composed of members of the IOI Steering Committee. IOI Leadership will invite members of the IOI Steering Committee to participate in the Subcommittee, seeking to ensure a diverse range of skills, knowledge, and perspectives. Subcommittee members must not be applicants to the IOI Fund. ## Procedures ### Meetings The Subcommittee will meet in April (kick-off meeting), June (pre-application reviews and approval), and September 2025 (full proposal review and approval). The Subcommittee will have additional meetings with such frequency as it may determine. A majority of Committee members will constitute a quorum. Committee approvals will require a vote of a majority of the Committee members present at a meeting at which a quorum is present. ### Communications The Subcommittee will report its activities to the IOI Steering Committee on a regular basis and will keep minutes of its meetings. ### Terms of reference Subcommittee members must adhere to and sign the IOI Fund Terms of Reference for Contributors. ### Dissolution Unless otherwise determined by the IOI Steering Committee, the Subcommittee will be dissolved once the IOI Fund final funding decisions have been confirmed. ### Amendments Amendments to this Charter may be proposed by any member of the Subcommittee and must be approved by a majority vote of the Subcommittee. --- ## See also * IOI Financial Oversight Committee meetings (under construction) * IOI's [Who we are](https://investinopen.org/about/who-we-are/) webpage --- This page first published: 2025-03-27 ###### tags: `about-us` `governance` ---
