# Consulting Agreement for Stock Management System Design & Implementation

This Consulting Agreement ("Agreement") is entered into on **26th February 2024**, by and between:

**Iradukunda Lee Miguel Kevin** (hereinafter referred to as the "Consultant"),
**KK466 St, Kicukiro**

and

**Blanc Ltd.** (hereinafter referred to as the "Client"),
**KG 626 St, Remera**

## 1. Scope of Services

The Consultant agrees to provide consulting services for the design & implementation of the Stock Management System as outlined in the "Business Project Proposal: Design & Implementation of Stock Management System" dated **20th February 2024**.

## 2. Consulting Fee

2.1 **Total Fee:** The total fee for the consulting services is 1.5 million Rwandan Francs.

2.2 **Payment Schedule:** The Client agrees to pay the Consultant as follows:
- **40% Advance Payment:** The Client shall make an advance payment of 40%, amounting to 600,000 Rwandan Francs, before the commencement of the project.
- **50% Payment after Deployment:** The Client shall make a payment of 50%, amounting to 750,000 Rwandan Francs, upon the successful deployment of the Stock Management System.
- **10% Final Payment:** The remaining balance of 10%, amounting to 150,000 Rwandan Francs, shall be paid after one month of using the software.

## 3. Consulting Period

The consulting period shall commence on **26th February 2024** and terminate upon the successful completion of the consulting services, which is expected to be on or before **31st March 2024**.

## 4. Client Responsibilities

The Client agrees to provide the necessary information, resources, and cooperation required for the Consultant to perform the consulting services effectively.

## 5. Ownership and Deliverables

All deliverables, including but not limited to reports, recommendations, and documentation, produced by the Consultant in the course of providing services shall be the property of the Client.

## 6. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the consulting period.

## 7. Penalties

In the event of a significant unjustified delay in the delivery of services or payment by either party, the party responsible for the delay shall incur penalties. The penalties shall amount to 100,000 Rwandan Francs per week of delay, to be paid by the responsible party to the other party.

## 8. Termination

Either party may terminate this Agreement with written notice if the other party breaches a material term of this Agreement.

## 9. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of Rwanda.

IN WITNESS WHEREOF, the parties hereto have executed this Consulting Agreement as of the Effective Date.
