## Contract for the Installation of a Solar System

**Sunzibar Energy Ltd.**
Paje, Tanzania
Incorporation ID: Z0000195495
(hereinafter referred to as "**Contractor**")

**§1 Subject of the Contract**

The Contractor agrees to install a solar system on the rooftop of the building located at Shanga Restaurant, Paje Beach, Wilaya Ya Kusini, Zanzibar Central/South 1281.

**§2 Execution Period**

The installation will commence within two months after payment of the deposit and is to be completed by June 30, 2024, barring uncontrollable events such as natural disasters, faulty equipment not caused by the installation team, or unexpected delays in material delivery. Both parties agree to strive for the earliest possible completion date to prepare for the high season.

**§3 Payment**

The total cost for materials and installation is 41,975 USD, including a 15% VAT. Payment is due as follows:

* A deposit of 12,000 USD upon signing the contract.
* The remaining balance will be divided into five equal installments of 5,995 USD each, due on 15.05.24, 15.06.24, 15.07.24, 15.08.24, and 15.09.24.

**§4 Acceptance**

Acceptance occurs after the complete installation and functional testing by the Client, including a one-week live test period covering various scenarios such as electrical outages. The system must demonstrate its promised electricity range and function without issues during backup instances. All aspects, including automatic power source switching, backup power, and performance, must meet expectations for acceptance. Upon successful testing, the Client will sign a handover document.

Should any defects be identified, the Contractor has the right to remedy these defects within a reasonable timeframe of 30 days upon notification by the Client.

**§5 Warranty**

The Contractor provides a comprehensive warranty for the installed solar system for three years from the date of acceptance. This warranty covers all system components and workmanship, ensuring their proper function and performance.

Additionally, the solar panels have a manufacturer's warranty of 30 years, the batteries have a 10-year warranty, and the inverter has a 8-year warranty.

The Contractor will conduct a yearly full system check as part of the warranty agreement.

**§6 Final Provisions**

Amendments and supplements to this contract must be made in writing. The place of jurisdiction and applicable law for any disputes arising from this contract shall be Zanzibar, Tanzania. Should any provision of this contract be or become invalid, this shall not affect the validity of the remaining contract.

**§7 Transport Risk**

The risk of accidental loss or damage to the solar system during transport from China to Zanzibar is borne by the Contractor until the undamaged system is handed over at the installation site to the Client. In case of damage or loss of the system during transport, the Contractor commits to provide a replacement at their own expense and ensure the installation within the agreed timelines.

**§8 Disclaimer for Faults Caused by Unauthorized Intervention**

The Contractor assumes no liability for damages to the solar system caused by interventions or installations made by uncertified electricians or installers. Any modifications, repairs, or maintenance work not conducted by authorized personnel of the Contractor or without their written approval will result in the immediate forfeiture of all warranty claims from the Client.
