# DAOsquare Proposal - April 26, 2021

## Scope

**Technology Services:**
Create and provide technical support to a white-label DAOsquare CCO platform and incubator ("the Incubator") that uses the DAOhaus technology whereby DAOsquare can curate CCOs for new projects looking for community funding under $500K USD and those CCOs can be easily found and viewed via a simple UI and create Farms to incentivize token liquidity (the "**Technology Services**"). As part of the Technology Services DAOhaus will also provide general technical guidance and advice with respect to the Incubator and future DAOsquare projects, with payments and deliverables for any additional product deliverables to be agree upon by the parties, and help source additional development resources for DAOsquare as-need.

A long-term partnership between DAOhaus and DAOsquare where DAOsquare is promoted as a premier-level partner of DAOhaus and is given the same access and benefits of any other premier-level partner (the "**Partnership Services**").

## Deliverables / Timing

Due to the short-time line DAOhaus will need to deliver the "**CCO Platform**" for the Incubator in three stages, each with thier own set of specifications. The specifications for Version 1.0 (the "**MVP**") are attached as Schedule A. The exact specifications for Version 1.5 (the "**Farms**") must be agreed upon by May 1st, 2021. The exact specifications, timeline, and cost for Version 2.0 (the "**Whitelabel**") will be agreed upon by the parties no later than June 30th, 2021.

## Cost
**Overview:**
* 40,000 xDAI for the MVP construction
* 25,000 xDAI for the Farms construction
* Cost of for the Whitelabel construction to be determined
* 7,500 xDAI / month retainer for maintence and services, plus an additional amount per additional CCO to be agreed upon by the parties.
* 600,000 $RICE subject to vesting.

**Retainer Payments**

7,500 xDAI at the beginning of each month for prior months "Retainer Services". This retainer will be for first 6-month period starting May 1, 2021, with an optional extention for another 6 months upon the agreement of the parties.

**Payment Address:**
All payments must by made in wxDAI to:

**Rice Vesting:**
600,000 $RICE that will vest in four equal installments of 150,000 $RICE every 6 months; provided that, DAOhaus continues to provide Technical Services during that 6-month period. If DAOsquare terminates the technical services, DAOhaus will recieve a pro-rata portion of the unvested $RICE for that period for the duration of time in which services were provided.

Once an installment of RICE has become vested, that RICE will be subject to lockup for one year from the vesting date.

**Resources**
* For MVP Build:
* 2 Devs 30-40 hrs per wk
* 1 Project Manager ("PM") 10-15 hrs per wk

* For Farms Build:
* 2 Devs 10-15 hrs per wk
* 1 PM 5 hrs per wk
* For Whitelabel Build:
* Dev resources TBD
* PM resources TBD
* Expect ability to outsource a significant amount of the dev resources to RaidGuild.

* For Retainer Period:
* 1 PM 30-40 hrs per mon.
* 1-2 Dev 20-30 total dev hrs per mon.

## Partnership Services
Each of DAOsquare and DAOhaus wants to support the mission and success of the other project.

In order to do so both DAOhaus and DAOsquare agree to:
* A mutual announcement on Twitter and Medium of the premier partnership and the launch of the Incubator.
* Cross promotion of any significant annoucements (as flagged by each party to the other) on Twitter and Medium.

Additionally, DAOhaus will:
* Write an article highlighting it's DAOsquare partnership.
* Use reasonable efforts to promote DAOsquare as a successful DAO in articles discussing DAOhaus DAOs.

Additionally, DAOsquare will:
* Promote DAOhaus as a preferred DAO creation platform in Asia.

## Retainer Services
The below services will be covered under the retainer. Any other services may incur additional charges agreed upon by the parties before such additional work begins.

* Assistance with the creation of up to 3 CCO DAOs and any related bots, transmutation or vesting contracts and whitelists per month; provided that, DAOsquare must give DAOHaus at least 5 business days prior notice of the creation of any CCO DAO.
* Dedicated support (in English) in a DAOsquare CCO support channel with initial responses to support questions provided within 1 hour Monday - Friday 10 am ET - 6 pm ET and within 12 hours at all other times.
* A walk-through of the CCO process and page for each new CCO team (at team's option).
* Dedicated point of contact for CCO projects to help them navigate the process.
* Developer maintenance of the MVP.
* General technical advice and scoping with respect to new projects and the use of reasonable efforts in sourcing outside developers to complete any deliverables that requires outside developer work.

## Other Terms
Below are a list of other terms that will apply to this partnership, and in particular, the DAOsquare Incubator MVP:

* All inventions, innovations, improvements, developments, methods, designs, analyses, drawings, reports, creative works, discoveries, software, computer programs, modifications, enhancements, know-how, product, formula or formulations, concepts and ideas, and all similar or related information (in each case whether or not patentable), all copyrights and copyrightable works, all trade secrets, confidential information, and all other intellectual property and intellectual property rights that (in any case above) are conceived, reduced to practice, created, developed or made by DAOhaus (the "**Work Product**") will be licensed to DAOsquare under the GNU-GPLv3 open-source license.
* Work Product does not include: The DAOsquare name, brand, logo or other brand elements.
* Additionally, Work product does not include the name, branding, logo, or other brand elements of any project incubated by DAOsquare that uses the MVP platform.
* DAOhaus may refuse to host on the DAOhaus MVP site and perform the Technical Services for any CCO project that it reasonably believes could be fraudulent, misleading, or otherwise harmful to the DAOhaus brand. In the event, DAOhaus refuses to host a CCO on the MVP site, it will provide prompt notice to DAOsquare of it's decision.
* Nothing in this proposal consitutes employment or an offer of employment by DAOsquare or DAOhaus with respect to any individuals working on the Technical Services or Partnership Services.
* DAOhaus retains the right to subcontract all or substantial portion of any part of this project to RaidGuild. In the event that DAOhaus desires to subcontract a portion of the development to a third-party development team that is not a member of DAOhaus or RaidGuild, it will provide 5 days prior notice of such to DAOsquare.

# Schedule A - MVP Specifications

## Deliverables
The MVP Deliverables are:

* A DAOsquare CCO List View hosted on a special page of daohaus.club
* A CCO page view that uses the DAOsquare color theme
* A process with DAOsquare for creating new CCO DAOs and supporting them through the CCO process.

## Implementation Details
The implementation details are as follows:

### DAOsquare CCO DAO List Page:
**Goal**: Create a special explore page that sorts only for DAOs tagged as DAOSquare CCO DAOs.

**Technical Implementation**
* A new route that displays the explore page with the sorting auto-set to only display these DAOsquare CCO DAOs.
* An additional field to our database that specially tags these DAOs in order to track these and differentiate them from any non-DAOsquare CCO that might also be going on.
* Change colors to match DAOsquare theme colors.
* A new component that's a modified DAO card that display the following information:
* Time left in CCO
* CCO contribution goal
* CCO contribution progress
* DAI to CCO token ratio
* NOTE: The above are also items that we can store in the web2 database.

### Polished CCO DAO PAGE:

**Goal:** Develop a polished CCO page that uses theme colors more inline with the DAOsquare desired theme /color.

**Technical Implementation**
* Everything that was in the DAOhaus CC1
* New place to the CCO UI for the particular project name.
* New place to explain in 1 sentence whitelist universe / restrictions
* Metadata and place for "about" links dynamic for project content
* Spy page stats

### CCO Creation Process:
**Goal:** Have a process to work with DAOsquare and the teams it incubates to for creating these DAOs.

**CCO Creations Steps:**

1. DAOsquare emails us the details for a new CCO DAO at least 5 days before the scheduled CCO is to begin. The details must include:
* The DAO name
* A brief project description and link to the project info (website, github, twitter, etc)
* The CCO goal
* The contribution currency
* The contribution to tokens ratio
* Any other rewards being offered (i.e. NFTs)
* The CCO start and end dates
* A json of the whitelist addresses and a brief explanation of what qualified someone for that whitelist.
* CCO team address
* List of applicable links
2. DAOhaus create a new DAO using the standard summoning form with DAOsquare and a CCO team address as the two shareholders (1 share each).
3. DAOhaus creates a timelock contract for holding the project tokens that can be released into the DAO upon the expiration of the lockup.
4. DAOhaus adds the CCO information into the database for that DAO.
5. DAOhaus uploads the whitelist to a centralized database and deploys a new bot to check eligibility / contributions against that whitelist.
6. DAOhaus unhides the CCO DAO 1 day prior to the CCO start-date.
7. No later than 1 day before the token-unlock DAOhaus will help the CCO team create new farms to go live when the CCO tokens are claimable.

DAOhaus will further develop a playlist for the process to give to each team.
