### Earning Points – Card Account Linking

Members of the [TEAM NAME] Rewards Program earn points based on spending at [TEAM NAME]'s virtual and physical stores and participating third-party merchants. For every dollar spent, members will earn points at a rate determined by [TEAM NAME] and subject to periodic review and adjustments. To facilitate this, members may link their personal credit or debit cards from recognized Card Payment Networks, including Visa Inc. (Visa), Mastercard Inc. (Mastercard), and American Express Company (Amex), to their program account. This linkage allows for the accumulation of rewards based on purchases of goods and/or services compliant with offers from merchants on [TEAM NAME]’s platform.

By connecting your eligible payment card (Linked Card) to the program, you authorize [TEAM NAME] and our third-party service providers, such as Plaid Technologies Inc. (Plaid), to access transaction data to verify and track qualifying purchases. This enables [TEAM NAME] to accurately award points for eligible transactions made with your Linked Card. You affirm ownership of your Linked Card and understand that Plaid will securely connect with your financial institutions for these purposes.

[TEAM NAME] commits to maintaining the confidentiality and integrity of your personal and transaction data. [TEAM NAME] may analyze anonymized transaction data from your Linked Card to enhance the loyalty program’s effectiveness but will not share or sell any of your data with third parties. ### Earning Points – Receipt Scanning

As part of the [TEAM NAME] Rewards Program, Members can earn points by purchasing specified consumer packaged goods (CPG) from designated retailers and scanning their receipts via the [TEAM NAME] Rewards Program app or website. Receipts must show a clear date, retailer name, and purchased items, and be submitted within 30 days of purchase for eligibility. [TEAM NAME] reserves the right to verify receipts for authenticity and compliance, and points will be credited upon successful verification. By using this feature, Members consent to [TEAM NAME] processing their receipt data solely for program administration and agree to the terms, which may be updated by [TEAM NAME] without prior notice. Fraudulent or unauthorized use of this feature can lead to disqualification and point forfeiture.

### Redemption of Points

Points can be redeemed through the Platform for a variety of rewards, including but not limited to tickets, exclusive merchandise, and unique fan experiences, subject to availability. To redeem rewards, the Member's account must be in good standing and any transactions must be fully complete. Failure to maintain good standing may result in disqualification from the Program and loss of accrued points. All Program points, prizes, and discounts are revocable and non-refundable, and do not have any monetary value. Program points, prizes, and discounts may not be re-sold by any means, electronic or otherwise.

### Redemption Auction Dynamics

Within the [TEAM NAME] Rewards Program, Members may be given the option to redeem their accumulated points for rewards using a Dutch auction mechanism, where rewards are initially offered at a higher point cost that decreases over time until claimed or a minimum threshold is reached. Each reward starts at a set point cost, decreasing according to a predefined schedule available on the platform, with auctions lasting until the reward is claimed or the cost reaches the minimum. Members can claim rewards by redeeming points at the current cost during the auction, and once claimed, the auction concludes. The total number of rewards is fixed, ensuring equitable distribution among Members. ### Program Modifications and Termination

### Data Privacy and Security

(b) Release the [TEAM NAME], the NBA, their respective parent companies, partners, licensees, affiliates, subsidiaries, officers, directors, employees, agents, and representatives from any and all liability in connection with your enrollment or participation in the Program or any related activities. Members waive the right to assert, as a cost of receiving any prize, any and all costs of redemption. All taxes on prizes are the Member's sole responsibility.

The [TEAM NAME] or Partners waiver of any breach of these Program terms and conditions shall not constitute a waiver of any other prior or subsequent breach thereof. Nor shall any [TEAM NAME] or Partners failure to insist upon strict compliance with these Program terms and conditions be deemed a waiver of any rights or remedies that they may have against any Member.

This agreement is subject to the Constitution and By-Laws and all rules, regulations, and agreements of the NBA and its affiliated entities as they presently exist or as they may, from time to time, be entered into, amended, or adopted.
