![](https://i.imgur.com/v0AyRmS.png) <style> .reveal { font-size: 30px; } </style> # Overview of PIMS Board membership and terms --- ## History of PIMS agreement * The first PIMS agreement was fully signed in 1998 (SFU, UA, UBC, UC and UVic) * First revision was made in 2005 (incorporating UW) * Second revision was made in 2009 (incorporating UR, USask) * A 2015 revised agreement includes UL, UM. --- <div style="text-align: left">Some revisions were fully signed, some not. Some changes were made but never executed. We are not compliant with the agreement. The PIMS Agreement is difficult to change due to the requirement for ratification. For all of these reasons a new document is required.</div> --- ## Overall plan for revision * Split the agreement into two parts: "PIMS Membership Agreement" and "PIMS Operational Bylaws" * **PIMS Membership Agreement:** Only include those details which need the approval of University legal departments. * **PIMS Operational Bylaws:** Create a document recording the terms of reference for the PIMS board and its committees, which may be more easily changed. --- ## Process & Timeline - Spring 2022: Committee (EO, KB, OY, Walter Dixon, Doug Farenick, Kirill Kopotun) was struck. - Summer 2022: EO, KB, and OY preparing draft documents. - Fall 2022: Consultation on key decisions (reason for today's meeting). - The committee will meet twice before the next Board meeting to discuss feedback. A progress report will be presented at the Board Meeting. --- ## Question How should site directors be represented on the PIMS Board? --- ## Current Board membership categories * University (upper) administrators * Mathematical Scientists * Representatives from business, industry, resource sectors and/or professional societies * PIMS Director (voting) and Deputy Director (non-voting) --- ## Historical membership | Year | Admin. | Scientists | B.I.R.P.| | ------ | ------ | ------ | ------ | |1998 | 5 | 3 (one from AB, BC) | 5| | 2005 | 6 | 4 (+ one from WA) | 6| | 2008 | 8 | 4-6 (+ one from SK) | 6-8| | 2015 |10 | 5-7 (+ one from MB)| 6-8| |Actual | 9* | 5* | 6 | Site Directors are not members of the Board in the first PIMS agreement or revisions. ----- *Vladimir Chernousov (term ended), Michael Friedlander, Kirill Kopotun, Ian Stavness, Elizabeth Thompson --- ## SD Representation on the Board SDs have a central role in PIMS operation and should have a voice on the PIMS Board. **Three general options for SD representation on the Board:** 1. **All SDs are voting members** of the board; **full** or **fractional** votes 2. **All SDs are non-voting members of the Board:** They are able to participate in Board discussions, make motions, etc. but do not cast votes. 3. **Some SDs are voting members** of the board: representatives are elected or terms rotate; **all other SDs are non-voting members** of the Board - EO, KB, and OY endorse as expressed in the earlier email. --- ## Considerations *Note that comments in Kirill's note are his personal views.* * Balance of the board & oversight * number of voting Board members who have signing authority in PIMS grants/funds * math scientists vs non-math scientist * geographic * Conflict of interest (prohibits membership in S&GC, Finance committees) --- "Members in categories 1.1.3, 1.1.4 and 1.1.5 will recuse themselves if either (1) a matter before the Board may conflict with their duties to their primary institution, or (2) a matter concerns a contract between PIMS and their primary institution and they will have supervisory responsibilities over the contract on behalf of the primary institution or (3) they have a personal conflict of interest with respect to a matter before the Board." --- ## Discussion. --- ## Proposed change in the current draft by EO, KB, OY 1.1.4 Three Site Directors appointed for 1 year with no consecutive terms. The Site Director Committee will elect Board representatives each year in September. One representative must be from Washington State or British Columbia, one representative must be from Alberta and one representative must be from Saskatchewan or Manitoba.
