# Unwinding
Unwinding tasks include:
- Paying off all debts
- Members of the DAO
- Third parties
- Returning unused funds to the DAO
- Transferring assets to the DAO
- E-mail accounts
- Websites
- Etc
- Legal?
- Leaving behind documentation so that other people can pick up their activities, to the extent it is reasonable and these are transferrable
# Golden Parachute
Unwinding tasks will be performed by Facilitators of the offboarded CU, either 1) the original Facilitators or 2) those next in the line of succession; or by 3) interim Facilitators from other Core Units.
If it falls on the original Facilitators (1), they will be compensated for the unwinding according to the industry standard (for their which industry though?). The exact formula is TBD, but it will have to factor in their salary. If it falls on those next in line (2) or on interim Facilitators (3), the salary that is factored in is that of the original Facilitators (1) unless their (2's) salary is higher.

MIP41 should be modified to (better) define:
- Line of succession
- Interim Facilitators
- The role of these individuals at unwinding
- Unwinding obligations
- Golden parachute should be mentioned; however, it should be defined in a new MIP40 component
- MIP41 process component templates should be modified accordingly
MIP40 should be modified to (better) define:
- Golden parachute: what it is, whence it comes, and how it is unlocked
- MIP40 process component templates should be modified to include a continuity fund
MIP39 should be modified to:
- Tie all of the above into a coherent package?
- Have a sensible offboarding process
- Define the time alloted for the unwinding
- Make it possible to offboard a Core Unit by executing a MIP39c3
- List different possible scenarios, hopefully exhaustively, and what should be done in each case
