Ours is the party of local leadership, free enterprise, civic virtue, and equal justice under law. It is the intent and purpose of these bylaws to establish a transparent, constitutional, and values-based organization that promotes citizen participation in the governance of Clark County and the State of Mayflower. **BE IT FURTHER RESOLVED**, That the following articles are adopted as the Bylaws of the Mayflower Republican Party. They govern the structure, leadership, operations, and conduct of the Party within Mayflower until amended as provided herein. --- ## ARTICLE I – Name and Purpose **Section 1. Name** The name of this organization shall be the **Mayflower Republican Party (MRP)**. **Section 2. Purpose** The purpose of the MRP shall be to: - (a) Promote the principles of limited government, individual liberty, personal responsibility, free markets, and traditional conservative values. - (b) Support candidates and policies that reflect these values in Clark County and throughout Mayflower. - \(c) Encourage civic education and active political participation within a lawful, orderly, and accountable system. - (d) Ensure full compliance with the Constitution of the State of Mayflower and the Clark County Electoral Rules. --- ## ARTICLE II – Membership **Section 1. Eligibility** - (a) Any resident or citizen of Mayflower who supports the principles and platform of the MRP may register as a member. - (b) Membership shall not be denied on the basis of race, sex, religion, national origin, or other protected status. - \(c) Membership is exclusive: no person who is a registered or participating member of another political party within the State of Mayflower may be a member of the Mayflower Republican Party, nor may they vote in or influence internal MRP elections or endorsement processes. - (d) Any attempt to hold dual membership or vote across party lines shall be considered cause for immediate removal from the Mayflower Republican Party. **Section 2. Classes of Membership** - **Supporters** – Non-voting members who follow or support the party informally. - **Registered Members** – Verified, voting-eligible members who may participate in party meetings and elections. - **Candidates** – Registered Members who have been endorsed or are seeking public office under the MRP banner. --- ## ARTICLE III – Party Organization **Section 1. Executive Committee** - (a) The Executive Committee shall serve as the governing authority of the Mayflower Republican Party. - (b) The Executive Committee shall consist of the following five voting members: 1. Chairman 2. Vice Chairman – Operations 3. Vice Chairman – Outreach and Public Engagement 4. Party Secretary 5. Policy Director **Section 2. Party Officers** - (a) The Executive Committee may establish or appoint additional non-voting directors or officers by majority vote for the purpose of managing specialized functions. - (b) These positions may include roles such as: - Campaign Director - Communications Director - Security Director - Chief Clerk - Treasurer - \(c) Appointed officers serve at the pleasure of the Executive Committee and may be removed or restructured at any time by majority vote. **Section 3. Advisory Roles** - (a) Non-voting Advisory Council may be appointed. - (b) Regional Coordinators and Party Whip may serve as needed. --- ## ARTICLE IV – Officers and Duties **Section 1. Chairman** - Leads the party and presides over all meetings. **Section 2. Vice Chairmen** - (a) Operations: Handles operations, elections, and discipline. - (b) Outreach and Public Engagement: Leads communications, outreach, and business relations. **Section 3. Party Secretary** - (a) The Party Secretary shall be responsible for maintaining all official party records and documentation, including meeting minutes and voting records. - (b) The Party Secretary shall also coordinate all meetings of the Executive Committee as required under [ARTICLE VII – Meetings and Voting](#article-vii), including the monthly meeting requirement and any special meetings. - \(c) The Party Secretary shall distribute agendas, maintain attendance logs, and publish or archive meeting summaries as appropriate. **Section 4. Treasurer** - (a) The Treasurer shall be responsible for maintaining accurate financial records of the Party, including donation tracking and expense documentation. - (b) The Treasurer shall oversee all fundraising efforts conducted on behalf of the Party, excluding any activities involving external business partnerships, sponsorships, or formal financial relationships which fall under the jurisdiction of the Vice Chairman – Outreach and Public Engagement - or the Party Administrator. - \(c) The Treasurer shall issue regular financial reports to the Executive Committee and ensure all monetary activity is conducted transparently and in compliance with Mayflower State Law. **Section 5. Chief Clerk** - (a) The Chief Clerk shall serve as the Party’s chief administrative officer for internal processes, documentation intake, and operational workflows. - (b) The Clerk is responsible for managing membership records, receiving and archiving filings such as Notices of Intent to Run, and facilitating election-related documentation. - \(c) The Clerk may be assigned additional administrative duties by the Executive Committee as necessary to ensure the continuity and procedural integrity of the Party’s operations. **Section 6. General Counsel** - (a) The General Counsel serves as the Party’s chief legal officer and advisor, responsible for interpreting the Party’s bylaws, reviewing procedural matters, and offering legal guidance on internal disputes or external compliance. - (b) The General Counsel shall advise the Executive Committee on matters related to Mayflower State Law, party discipline, campaign legality, and enforcement of these bylaws. - \(c) The General Counsel may be granted investigative authority or asked to issue formal legal opinions on issues affecting the Party’s standing, structure, or operations. --- ## ARTICLE V – Committees **Section 1. Standing Committees** - Policy and Platform Committee - Election Integrity Committee - Communications and Media Committee **Section 2. Temporary Committees** - May be established at Chairman’s discretion. --- ## ARTICLE VI – Candidacy and Endorsement **Section 1. Declaration** - Candidates seeking endorsement or ballot access through the Mayflower Republican Party must submit a Notice of Intent to Run to the place designated at that time by the Chief Clerk or Executive Committee. **Section 2. Vetting Process** - Reviewed by the Election Integrity Committee. **Section 3. Endorsement Revocation** - Requires two-thirds vote of Executive Committee. **Section 4. Ballot Access** - Party-endorsed candidates are auto-qualified under Clark County Rules, but must register individually after receiving the appropriate authorization from the Party Chairman. ******** --- ## ARTICLE VII – Meetings and Voting **Section 1. Meetings of the Executive Committee** - (a) The Executive Committee shall convene at minimum once every thirty (30) days. - (b) Special meetings may be called by the Chairman or upon request by a majority of the Executive Committee members. - \(c) Notice of meetings must be given at least twenty-four (24) hours in advance, unless waived by unanimous consent. **Section 2. Quorum and Voting Eligibility** - (a) A quorum shall consist of a majority of the current, filled seats of the Executive Committee. - (b) Only members of the Executive Committee are entitled to vote on party matters. Officers, directors, advisors, and general members may advise or attend, but shall have no voting power. - \(c) Each Executive Committee member shall have one (1) vote. Proxy votes `are` permitted. **Section 3. Voting Procedure** - (a) A motion shall pass when it receives a majority of votes cast by members present and voting. - (b) Members may abstain, but such abstentions shall not count toward the total needed to pass or defeat a motion. - \(c) Voting may be conducted by voice, raised hand, poll, or roll call, as determined by the Chairman or agreed upon by the Committee. **Section 4. Tie Votes** - (a) In the event of a tie vote resulting from abstentions, temporary vacancies, or absent members, the motion shall be considered failed. - (b) If the tie occurs on a matter deemed time-sensitive, urgent, or critical to the Party’s operations, the Party Administrator may cast a tie-breaking vote solely for the purpose of resolving the deadlock. - \(c) This tie-breaking power shall not extend to general decision-making and does not grant the Party Administrator a permanent vote. - (d) Any use of this authority must be recorded in the meeting minutes, including the rationale for invoking the tie-break. **Section 5. Recordkeeping** - (a) The Party Secretary shall maintain detailed records of all meetings, including attendance, motions proposed, votes cast, abstentions, and results. - (b) Meeting summaries may be made publicly available to registered members, unless designated confidential by majority vote. --- ## ARTICLE VIII – Election Integrity **Section 1. General Principles** - (a) The Mayflower Republican Party shall conduct all internal and public election-related activities in accordance with the principles of transparency, fairness, and good faith. - (b) The Party is committed to maintaining public trust in the electoral process and shall uphold the rules set forth in the Clark County Electoral Rules and the Constitution of the State of Mayflower. - \(c) All candidates, staff, and Executive Committee members are expected to model ethical behavior and responsible campaigning. **Section 2. Campaign Conduct Requirements** - (a) Members and candidates representing the Party must not engage in: 1. Bribery or vote-buying 2. Voter intimidation or coercion 3. Distribution of knowingly false or misleading information 4. Unauthorized use of endorsements, party branding, or official channels 5. Harassment of voters, opponents, or officials 6. Exploitation of game mechanics or Discord systems for electoral advantage - (b) All campaign communications must be consistent with messaging restrictions outlined by the Mayflower Elections Commission and Discord server rules. - \(c) Candidates must abide by limits on advertisement frequency, location, and format. **Section 3. Internal Party Elections** - (a) The Party Administrator shall oversee the conduct of internal elections, including proper candidate vetting, publishing of deadlines, and supervision of voting mechanisms. - (b) Internal elections may be conducted via secure Discord polls, Google Forms, or other approved platforms, with verification of eligible voters. **Section 4. Audits and Oversight** - (a) The Party supports and will comply with any audit or investigation authorized by the Mayflower Elections Commission or other competent electoral body. - (b) The Party shall keep complete and verifiable records of endorsements, vote counts, and election announcements. - \(c) Any tampering with ballots, poll tools, or audit results is grounds for immediate suspension pending review. **Section 5. Violations and Disciplinary Action** - (a) Alleged violations of electoral rules by a candidate or member shall be reported to the Party Administrator for investigation. - (b) Confirmed violations may result in: 1. Revocation of endorsement 2. Removal from the ballot 3. Suspension or expulsion from the Party 4. Referral to the Mayflower Elections Commission for further action - \(c) The Executive Committee shall be notified of any disciplinary recommendation and shall vote on final action by majority vote. **Section 6. Contesting Results** - (a) Candidates may formally contest internal election outcomes within 48 hours of result publication. - (b) Disputes must be submitted in writing to the Party Administrator and supported by specific claims or irregularities. - \(c) A final ruling shall be issued by the Party Administrator. --- ## ARTICLE IX – Amendments **Section 1. Proposal and Approval** - Must be written and passed by two-thirds of the Executive Committee. --- ## ARTICLE X – Dissolution **Section 1. Procedure** - Dissolution of the Mayflower Republican Party shall require: - (a) A unanimous vote of all current members of the Executive Committee, **and** - (b) Formal approval from the Party Administrator. - This safeguard is intended to prevent impulsive dissolution and to respect the party’s continuity, legacy, and infrastructure. **Section 2. Disposition** - Assets and records to be archived or transferred. --- ## ARTICLE XI – Legal Compliance **Section 1. State Registration** - (a) The Mayflower Republican Party shall remain a legally recognized political party registered with the Mayflower Elections Commission. - (b) The party must maintain bylaws, a democratic leadership structure, and transparent membership procedures. **Section 2. Constitutional Adherence** - (a) All operations of the Party must be in accordance with the Constitution of the State of Mayflower, the Party Powers Act, and applicable electoral regulations. **Section 3. Group Administration** - (a) The Party Administrator, serving as the caretaker of the party, shall maintain final ownership rights over the party’s infrastructure. - (b) The Party Administrator may intervene only in cases of legal violation, system compromise, or to uphold the party’s lawful continuity. - \(c) This role is administrative in nature and does not confer voting power within the Executive Committee, **except** in cases expressly authorized by these bylaws — such as [casting a tie-breaking vote](#article-vii) or [approving party dissolution](#article-x). --- ## ARTICLE XII – Compliance with State Law **Section 1. Party Powers Act** - Prohibits: 1. Espionage or sabotage 2. Secret police or intelligence groups 3. Paramilitary affiliation **Section 2. Event Security** - Only lawful, licensed firms may be contracted. **Section 3. Sanctions** - Violations may result in: - Unregistration by the Elections Commission - Temporary bans on reformation - Personal accountability **Section 4. Oath of Compliance** - All officers shall acknowledge and agree to uphold these provisions upon appointment. --- ## ARTICLE XIII – Certification and Effective Date **Section 1. Certification of Bylaws** - These Bylaws of the Mayflower Republican Party are hereby adopted and enacted by certification of the Party Administrator, who serves as the permanent caretaker of the Party’s infrastructure, assets, and legacy. **Section 2. Effective Date** - These Bylaws shall take full force and effect upon their publication and certification by the Party Administrator. **Section 3. Standing Authority** - Unless lawfully amended under [ARTICLE IX – Amendments](#article-ix), these Bylaws shall govern the internal structure, elections, and operational conduct of the Mayflower Republican Party. **Section 4.
