Chill Airways is a decentralized aviation movement born from internet energy.
Powered by $DELAY and a global meme society, this project blends the raw virality of online culture with the structure of real-world assets, including private jets, commercial airliners, and specialty aircraft.

The flight plan begins in Abu Dhabi, where the Chill Airways Foundation serves as the legal launchpad.
From there, we tokenize aircraft, reward holders through MemeMiles, and gradually hand control over to the DAO.

Every choice, every jet, every headline, decided by the community.
Not because it’s easy, but because it’s legendary.

## Chapter 2: The Chill Airways Foundation

Chill Airways is anchored by a legally registered non-profit foundation in Abu Dhabi, United Arab Emirates, a forward-thinking, internationally connected jurisdiction that actively supports innovation in blockchain, fintech, and asset tokenization.

The Foundation is responsible for:

- Structuring and launching SPVs (Special Purpose Vehicles) for asset acquisition
- Managing legal operations, compliance, and custody
- Ensuring the long-term roadmap remains in community hands

The structure includes:

- A partnership with a local legal firm for compliance and documentation
- A foundation-owned bank account to manage fiat and real-world operations
- An external audit firm that reports transparently to the DAO

The Foundation does not control the project, it enables it.
Everything begins here. But nothing ends here.

## Chapter 3: The Role of the Founding Team

In the early stages of Chill Airways, the founding team assumes full responsibility for strategic direction, execution, and ecosystem launch.

Until DAO infrastructure is fully active, the team:

- Appoints the initial council
- Proposes governance frameworks
- Controls contracts via multisig
- Sets up legal, financial and operational infrastructure
- Launches the first SPVs and token utility layers

Governance is progressively transferred:

## Chapter 4: DAO Governance Framework

Chill Airways is structured to transition into full DAO control over time.

1 $DELAY Token = 1 Vote.
There are no vote boosts, no manipulation. Flat governance for all.

Snapshot is used for proposals and voting. Votes are gasless and transparent.

DAO Council:

- Elected every 4 months. Fixed dates.
- Executes DAO intent in early phases
- Manages multisig wallets for marketing, salaries, and ops
- Reduced powers after Q2 and Q3 as DAO takes over

Holders:

- Can vote with any amount
- Can propose changes with at least 0.1% of supply
- Must comply with Foundation Charter
- Cannot vote on proposals that would break laws or damage the brand or foundation.

Inactivity Protocol:

- Any holder with 0.1% of supply can trigger reactivation
- Requires 15% of total supply to sign
- Can only be triggered once every 4 months
- Triggers vote to refresh council and restore governance

Voting Process:

1. Proposal submitted on Snapshot
2. Snapshot block defines voter balances
3. Voting lasts 4 days
4. Quorum check (5%)
5. Result executed

## Chapter 5: How to Join the DAO & What It Does

Anyone can join the DAO by holding $AUTOPILOT.

The DAO is responsible for:

- Proposals and voting
- Approving major purchases (jets, media, expansion)
- Electing the DAO Council
- Overseeing treasury use
- Controlling token functions (burn, fee, staking toggles)

To participate:

1. Acquire $AUTOPILOT
2. Connect to the governance portal
3. Vote or delegate
4. Submit proposals if eligible
5. Track DAO outcomes

## Chapter 6: Legal Boundaries & DAO Limitations

The DAO governs Chill Airways, but the real world still applies.

The Chill Airways Foundation holds veto rights on proposals that:

- Violate UAE or international law
- Endanger project security or continuity
- Conflict with the Foundation Charter

These include proposals that introduce fraud, discrimination, reputational harm, or regulatory risk.

If vetoed:

- A signed statement is published
- DAO may revise and resubmit
- All actions are logged and public

Legal safeguards allow the project to grow responsibly, without ever sacrificing its core values.
