These Terms and Conditions (“Agreement”) govern your access to and use of the Chill Airways ecosystem, platform(s), website(s), services, applications, and any associated offerings (collectively referred to as “Services”). By accessing, using, or interacting with any component of Chill Airways, you acknowledge that you have read, understood, and agreed to be bound by the terms of this Agreement. If you do not agree to these terms, do not use the Services.

## 1. Eligibility and Acceptance
- You must be at least 18 years of age and have full legal capacity in your jurisdiction.
- By accessing or using any Chill Airways Services, you accept and agree to these Terms, our Privacy Policy, and the Legal Disclaimer.
- You confirm that your participation is voluntary and not based on any promise of profit or investment returns.
- By using Chill Airways, you acknowledge and accept all risks associated with blockchain technologies, including but not limited to volatility, technical failures, and regulatory uncertainty.

## 2. Jurisdiction and Governing Law
- These Terms are governed exclusively by the laws of the Abu Dhabi Global Market (ADGM).
- Any disputes arising out of or in connection with these Terms will be subject to the exclusive jurisdiction of ADGM courts or arbitration tribunals.
- In the event of any conflict between translations, the English version shall prevail.

## 3. Use of Services
- You may only use the Services for lawful, community-aligned purposes.
- You agree not to:
a. Violate any applicable law or regulation.
b. Use automated systems (bots, scripts) to interact with the ecosystem without written consent.
c. Engage in Sybil attacks, multi-accounting, or manipulation of governance, token distribution, or rewards systems.

## 4. Description of Ecosystem Access
- Chill Airways may provide access to future features, including but not limited to:
- Community governance via DAOs
- Loyalty programs such as MemeMiles
- Participation in raffles, airdrops, or token-based rewards
- Interactions with tokenized representations of aircraft-linked experiences via Special Purpose Vehicles (SPVs)

- These features do not constitute investment products or ownership in any aircraft, company, or legal entity.

## 5. Prohibited Jurisdictions
- Access to the Services is strictly prohibited for users located in or residents of:
- United States of America
- Canada (all provinces)
- China
- North Korea
- Iran
- Syria
- Cuba
- Afghanistan
- Belarus
- Russian-occupied regions of Ukraine
- Mainland United Arab Emirates (outside of ADGM)
- Any country subject to international sanctions

- Chill Airways reserves the right to block access, participation, or wallet addresses from these and other regions to remain in legal compliance.

## 6. No Guarantees or Profit Expectations
- No guarantee is made regarding the future availability, functionality, liquidity, or value of any token, product, or service.
- Participation does not entitle you to profit, dividends, revenue share, or ownership.
- The Chill Airways team makes no commitments regarding listings, partnerships, or platform integration.

## 7. Transparency and Modifications
- The Services may evolve, and features may be modified, suspended, or discontinued at any time.
- Updated versions of these Terms will be posted and effective immediately unless otherwise stated.
- Your continued use of Services constitutes acceptance of updated Terms.

## 8. Intellectual Property
- All content, branding, code, visual assets, and trademarks associated with Chill Airways remain the property of the project and/or its affiliated entities.
- You may not copy, modify, reproduce, distribute, or exploit any part of the Services without explicit written permission.

## 9. Limitations of Liability
- The Services are provided “as is” and “as available,” with no express or implied warranties.
- Chill Airways shall not be liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of funds, data, reputation, access, or earnings.
- This limitation applies even in cases of negligence, hacks, bugs, or platform downtime.

## 10. Termination of Access
- Chill Airways may restrict or revoke access to Services at any time, for any reason, including but not limited to:
- Violation of these Terms
- Illegal or malicious behavior
- Attempted circumvention of jurisdictional restrictions

## 11. No Agency or Fiduciary Relationship
- Your use of Chill Airways does not create any agency, partnership, employment, or fiduciary relationship.
- You agree that your participation is independent and for your own informational or experiential purposes.

## 12. No Refunds or Recourse
- All access, interactions, and digital participation with Chill Airways are final.
- No refunds, reversals, or compensation will be provided for any form of digital asset loss, platform changes, or perceived value reduction.

## 13. Force Majeure
- Chill Airways shall not be held liable for delays, failures, or interruptions caused by events beyond its reasonable control, including but not limited to natural disasters, war, cyberattacks, regulatory interventions, or third-party infrastructure failures.

## 14. Class Action Waiver
- To the maximum extent permitted by law, you waive your right to participate in any class action, collective, or group proceeding against Chill Airways or its affiliates.

## 15. Severability
- If any provision of these Terms is held to be unenforceable or invalid under applicable law, that provision shall be modified to reflect the parties’ intent or severed to the extent necessary.
- All remaining provisions will remain in full force and effect.

## 16. Contact and Notices
- Official communication must be via our website or verified email channels.
- We do not guarantee response unless explicitly required by law or separate agreement.
