# Asquera Event meeting #3 ## 2020-04-01, 13:00 CEST [Zoom](https://zoom.us/j/935358018) ## Attendees * Rafaela * Flaki # Agenda ## Asquera Event * [name=Rafaela] Had a phone call with Florian last week, he said that there's enough money to keep paying wages for 4 months * How do we leave it with the search for an accountant - to be postponed? * Do we even need one now? * Go for Quaderno instead? * Get in touch with Sina - what legal advice is needed to organize online conference? * Bank access * Waiting for photoTAN permission * Figure out current numbers regarding overtime * Has Ferrous paid for February and March? * Valentina posted the follwing in the Ferrous Zulip: > I'll post here our unresolved questions around asquera Events - Ferrous Systems cooperation To start discussing the content of the asquera Events - Ferrous agreement(s), we first need to agree on what projects are actually taking place and what scope of work are we talking about, so we need to talk about the following items first: > 1. 2020 projects for asquera Events and Ferrous, in the new circumstances: > * Oxidize offline and >* Oxidize online; > * unnamed and unscheduled "networking and distributed systems" event — maybe as remote only. > 2. Tasks (and fees to be paid) for April and upcoming months. We need to review our previous agreement about "15K in 6 months in 2500 monthly payments" ASAP. It may no longer be considered valid, since the event is not taking place in 6 months. > But while solving the most urgent problems, we need to keep in mind the higher level(s) of the system as well: A. Legal structure and formalities: Current status for asquera Events: Felix and Florian are fully legally responsible for asquera Events UG; Sina has a signature right; Rafaela is an employee; Flaki acts as an informal manager (no legal agreement). We need to have the following formal agreements in place: > 1) between asquera Events and Ferrous Systems ("sevice provider - client" relationship); > 2) between Flaki (or his Estonian company?) and asquera Events (alternatively - make Flaki one of the co-founders and managers officially). B. The basic principles of the agreement (or agreements) between the parties: > 1) "general" vs "per project" (probably "general" with Flaki, per project - between asquera E. and Ferrous); > 2) profit share vs fixed service fee. I would suggest for the asquera E. - Ferrous agreement a "fixed fee, with a defined scope of work" approach, since that benefits both parties in the current uncertain situation. Flaki - asquera Events agreement should probably be worked out between Florian, Felix and Flaki; James, Valentina, Sina and Rafaela are also stakeholders here, but only in a broad sense (as people interested in the end-result of the cooperation). ## Oxidize * Do we continue with the monthly payment for 6 months with regard to the current situation and the fact, that not much is happening right now due to Covid-19 ## RustFest * Create budget for online conf (only) * How to account for ticketing online conf? # Action items * Rafaela: * Count overhours * Get in touch with Sina * Take a look at Quaderno * Check Ferrous payment * Flaki: * Post on Ferrous Zulip regarding questions
